A Section 8 Company is incorporated under the Companies Act 2013 as a not-for-profit entity. Unlike a Trust (governed by the Indian Trusts Act) or Society (governed by the Societies Registration Act 1860), a Section 8 company is a legal person with perpetual existence, can sue and be sued in its own name, and is governed by the MCA — providing greater transparency, credibility and accountability. For IITs, it is the preferred structure for CSR eligibility, FCRA and government-grant applications.

A minimum of 2 directors are required for a private Section 8 company and 3 directors for a public Section 8 company, with no maximum limit. At least one director must be an Indian resident — someone who has stayed in India for at least 182 days in the previous calendar year.

INC-12 is the application for the Central Government licence to incorporate as a Section 8 (not-for-profit) company. Without this licence, a company cannot be registered under Section 8. The licence is granted by the Regional Director of the Ministry of Corporate Affairs upon being satisfied that the company's objects are charitable and its profits (if any) will be applied only for those objects.
