India's trusted advisory for representation in adjudication of penalties proceedings before the Registrar of Companies — show cause notice replies, hearing representation, penalty mitigation and Regional Director appeals. Specialised support for private companies, public companies, LLPs, startups and MSMEs facing MCA scrutiny.
Under Section 454 of the Companies Act, 2013, the Registrar of Companies (RoC) is empowered as an Adjudicating Officer to impose penalties for specified non-compliances — without the matter going before a criminal court. This "administrative adjudication" route lets the RoC directly levy monetary penalties for defaults such as delayed filings, non-maintenance of statutory registers or breach of provisions carrying a fixed or graded penalty.
The process begins with a show cause notice, followed by a written reply, a personal hearing, and an order under Section 454(3). If the company or officer repeats the same default within three years, the penalty for the repeat default can go up to twice the prescribed amount under Section 454A. Orders can be appealed before the Regional Director within 60 days.
JurisTatva represents companies, directors and officers in default through every stage — from analysing the notice to drafting the reply, appearing at the hearing and, where warranted, filing the appeal — with the goal of minimising both the penalty exposure and the time spent in proceedings.

Section 454 of the Companies Act 2013 empowers the Registrar of Companies (RoC), as Adjudicating Officer, to impose penalties for specified non-compliances without the matter going to a criminal court. It covers defaults such as delayed filings, non-maintenance of registers and violations of provisions that carry a monetary penalty.
Common triggers include delayed filing of annual returns or financial statements, non-compliance with Section 42 (private placement), Section 56 (share transfer/transmission), Section 90 (significant beneficial ownership), Section 118 (minutes), Section 135 (CSR) and similar provisions, or a complaint raised during scrutiny of MCA filings.
Yes. Under Section 454A, where a company or officer repeats the same default within three years of an earlier adjudication order, the penalty for the second and subsequent defaults can be up to twice the amount prescribed for that default, subject to the statutory maximum.
Yes. An appeal against an order passed by the Registrar under Section 454(3) lies before the Regional Director under Section 454(5), and must ordinarily be filed within 60 days of receipt of the order, in Form ADJ along with the prescribed fee.
Adjudication under Section 454 deals with defaults that carry only a monetary penalty and is decided by the RoC/RD. Compounding under Section 441 applies to offences that are also punishable with fine or imprisonment, and is decided by the RD, Regional Bench of NCLT or Special Court depending on the quantum involved.
From receipt of the show cause notice to the final order, proceedings typically conclude within 60 to 90 days, depending on the RoC's hearing calendar and whether further clarifications are sought. Appeals before the Regional Director may take longer.
The Registrar has limited discretion to consider the nature and gravity of the default while quantifying the penalty within the statutory range, and to account for suo-motu rectification. A well-documented reply and hearing representation can materially affect the quantum ultimately imposed.
